1. Introduction & Acceptance

These Terms and Conditions ("Terms") govern the relationship between Expert Building Solution ("Company", "we", "us", "our") — ABN/GST No. [Registration Number], Ground Floor, Survey No. 785, Jay Somnath Farm, Ognaj, Mahakali Mandir Road, Ahmedabad, Ahmedabad, Gujarat – 380060 — and any individual, society, company, or organisation ("Client", "you") that engages our construction, waterproofing, renovation, or maintenance services.

By accepting a quotation, signing a work order, or permitting work to commence on your property, you agree to be bound by these Terms in full.

2. Services

Expert Building Solution provides the following services, subject to individual scope agreements:

• Waterproofing (terrace, basement, bathroom, external walls)
• Structural repairs and concrete restoration
• Building renovation (interior and exterior)
• Civil construction and extension works
• Painting, texture, and surface finishing
• Annual Maintenance Contracts (AMC) for residential and commercial properties

All services are subject to the specific scope, timeline, and cost agreed upon in writing between the Company and the Client prior to commencement of work.

3. Quotations & Estimates

All quotations issued by the Company are valid for thirty (30) days from the date of issue, unless otherwise specified in writing. Quotations are based on information provided by the Client at the time of assessment. If the actual scope of work is found to differ materially from the assessed scope upon commencement, the Company reserves the right to revise the quotation accordingly and will seek written approval from the Client before proceeding with additional work.

4. Payment Terms

Payment terms will be specified in the work order or agreement for each project. General terms are as follows:

• An advance payment (as agreed, typically 25–50% of the total project cost) is required before work commences.
• Interim payments may be required at defined project milestones, as specified in the work order.
• Final payment is due within seven (7) days of project completion and handover, unless otherwise agreed in writing.
• All payments are to be made via bank transfer, cheque, or such other method as agreed. GST will be charged as applicable.
• Delayed payments beyond the agreed due date may attract interest at the rate of 1.5% per month on the outstanding amount.

5. Client Responsibilities

The Client agrees to:

• Provide unobstructed access to the work site at agreed times and ensure that the necessary permissions or NOCs from relevant authorities have been obtained where required.
• Ensure that the site is cleared of existing belongings, furniture, or materials that may impede the work, unless removal is explicitly included in the agreed scope.
• Provide accurate and complete information about the property, existing construction, and any specific requirements or constraints.
• Designate a responsible point of contact who is authorised to give approvals or decisions during the project.
• Make timely payments as per the agreed schedule to avoid disruptions to the project timeline.

6. Warranty

Expert Building Solution provides a limited warranty on completed work as follows:

• Waterproofing works: warranty period as specified in the individual project agreement (typically one to five years depending on the system used).
• Structural repairs and civil works: one (1) year from the date of project handover.
• Painting and surface finishing: six (6) months from the date of project handover.

Warranty covers defects arising from materials or workmanship provided by the Company. It does not cover damage resulting from external factors such as natural calamities, structural movement, alterations by third parties, or improper maintenance by the Client after handover.

7. Limitation of Liability

The Company's total liability to the Client for any claim arising out of the services provided shall not exceed the total amount paid by the Client for the specific work in question. The Company shall not be liable for any indirect, consequential, or incidental losses, including loss of use, loss of business, or loss of property value.

8. Force Majeure

Neither party shall be held liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, civil unrest, government-mandated lockdowns, unavailability of materials due to supply chain disruptions, or any other circumstances constituting force majeure. The affected party shall notify the other party as soon as reasonably possible.

9. Dispute Resolution

In the event of any dispute arising from these Terms or the services provided, the parties shall first attempt to resolve the matter through mutual discussion and negotiation in good faith. If no resolution is reached within thirty (30) days, the dispute may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Ahmedabad, Gujarat, and proceedings shall be conducted in English or Gujarati. The courts of Ahmedabad shall have exclusive jurisdiction over all matters not subject to arbitration.

10. Intellectual Property

All designs, drawings, plans, and technical documents prepared by the Company in connection with your project remain the intellectual property of the Company unless explicitly transferred in writing. The Client is granted a licence to use such documents solely for the purposes of the contracted project.

11. Termination

Either party may terminate the contract with fifteen (15) days' written notice. In the event of termination by the Client, the Client shall be liable for payment of all work completed up to the date of termination, including mobilisation costs and material procured or ordered. In the event of termination by the Company due to breach by the Client (including non-payment), the Company shall be entitled to suspend all works immediately and recover dues for completed work plus reasonable costs.

12. Amendments to Terms

The Company reserves the right to amend these Terms from time to time. Updated Terms will be published on our website. Continued engagement of our services after any amendment constitutes acceptance of the revised Terms.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts situated in Ahmedabad, Gujarat.
